By accessing or using www.lexgoinvest.ai (the “Site”), you agree to these Terms of Use. If you do not agree, do not use the Site. The Site is operated by AIDirect, LLC and LexGoAI, LLC (together, “LexGo Invest”).

The offering presented on this Site is conducted under SEC Regulation D Rule 506(c) and is available only to accredited investors as that term is defined in Rule 501(a). General solicitation is permitted under Rule 506(c), but all purchasers must be accredited and the issuer is required to take reasonable steps to verify accredited status. See the Disclosures page for the accredited-investor definition and the verification methods we use.

The Site is not directed at, and the offering is not made to, any person in a jurisdiction where such offering or solicitation is unlawful. Nothing on the Site constitutes an offer in such jurisdictions.

The Site provides general information about LexGo Invest and the offering. It is not, and does not contain, an offer to sell or a solicitation of an offer to buy any security. Any offer is made only through formal offering documents (the Subscription Agreement and the SAFE) delivered inside the investor portal after accreditation verification.

You agree not to (a) impersonate any person or entity, (b) interfere with the Site's operation or security, (c) attempt to gain unauthorized access to any system or account, (d) submit false or misleading information on /apply, (e) use the Site to send unsolicited communications, or (f) use any automated tool to scrape or copy the Site beyond the limits permitted by our robots.txt and standard search-engine indexing.

The Site is provided on an “as-is” and “as-available” basis. To the maximum extent permitted by applicable law, LexGo Invest disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from a course of dealing or usage of trade.

To the maximum extent permitted by applicable law, LexGo Invest will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, arising out of or in connection with your use of the Site. Our total aggregate liability for any claim arising out of your use of the Site is limited to one hundred U.S. dollars (USD $100).

This limitation does not apply to liability that cannot be limited under applicable law, including (in some jurisdictions) liability for gross negligence, willful misconduct, or fraud.

You agree to defend, indemnify, and hold harmless LexGo Invest and its officers, directors, employees, and agents from any claim, liability, damage, loss, or expense (including reasonable attorneys' fees) arising out of (a) your use of the Site in violation of these Terms, (b) any false or misleading information you submit through the Site, or (c) your violation of any law or the rights of any third party.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site will be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of those courts. This Section does not limit any dispute-resolution mechanism set out in the Subscription Agreement or the SAFE, which control any dispute arising under those agreements.

We may update these Terms as the round and our operations evolve. Material changes are reflected in the “Last updated” stamp at the top of the page. Continued use of the Site after a change constitutes acceptance of the revised Terms.
